OFFICIAL RULES – Cabo Retreat Giveaway

NO PURCHASE NECESSARY TO ENTER OR WIN.

1. Sponsor

The Cabo Retreat Giveaway (“Giveaway”) is sponsored by LeadHer Summit.

This Giveaway is in no way sponsored, endorsed, or administered by, or

associated with, Instagram, Facebook, or any other social platform.

2. Eligibility

The Giveaway is open to legal residents of the 50 United States and the District of

Columbia, who are at least 18 years of age at the time of entry. Employees,

contractors, affiliates, and immediate family members of the Sponsor are not

eligible to participate.

VOID WHERE PROHIBITED. This Giveaway is subject to all federal, state, and

local laws and regulations.

3. Giveaway Period

The Giveaway begins on 2/11 at 9:00 AM CST and ends on 2/18 at 11:59 PM CST

(“Giveaway Period”). All entries must be received within this period to be eligible.

4. How to Enter

“Participants” may enter the Giveaway using the following methods:

A. Required Entry (No Purchase Necessary)

● Visit leadhersummit.com/retreatgiveaway and complete the official entry

form, including your name, phone number, and email address.

● Limit one (1) entry per person.

B. Additional Entries (Optional)

● Book Purchase Entry: Receive one (1) entry for book(s) purchased from

joyprescriptions.com during the Giveaway Period.

o To qualify, Participants must upload a proof of purchase (e.g., order

confirmation) in the giveaway entry form (1 extra entry).

● Instagram Entry:

o Share the official giveaway post on Instagram Stories with a link to

joyprescriptions.com (1 extra entry).

o Tag a friend in a comment (each third party comment counts as 1

extra entry, up to 20 extra entries per person).

Limit: Maximum of 41 total entries per person, regardless of entry method.

All entries become the exclusive property of the Sponsor and will not be

acknowledged or returned.

Sponsor reserves the right to suspend or cancel the Giveaway or modify these

Official Rules as necessary for any reason or as required by applicable law.

Sponsor reserves the right, in its sole discretion, to disqualify from the Giveaway,

and ban from any future promotions, any person it believes to have intentionally

violated these Official Rules, or to be acting in a morally wrong or disruptive

manner, or to have tampered with any element of the Giveaway without notice to

the disqualified or banned person.

Participants must be the natural person assigned to any submitted email account by the

email service provider responsible for the assigning email addresses for the domain

associated with such email account. The Participant must also be an authorized

account holder for any submitted telephone number. Any attempt by any entrant to

obtain more than the stated number of entries using multiple/different email addresses,

identities, registrations and logins, or any other methods will void such entries and that

Participant may be disqualified if discovered by Sponsor. Entries generated by a script,

macro or other automated means will be disqualified if discovered by Sponsor. The use

of automated or third-party software or web site to enter and/or play is prohibited.

Entries that are inaccurate, incomplete, illegible, or corrupted are void and will be

disqualified if discovered by Sponsor. Each Participant represents and warrants that

they created and fully own or have properly licensed all uploaded constituents or

information without violating any applicable law, agreement with any third-party, and/or

third-party right of any kind. Uploaded materials may not contain personally identifiable

information or other similar sensitive/confidential information of any third-party or

content that is offensive, inappropriate, or inconsistent with the Sponsor’s image or the

spirit or purpose of the Giveaway.

The Sponsor is not responsible for lost, late, illegible, corrupted, or misdirected entries.

5. Prize

One (1) winner will receive a Cabo Retreat Package, which only includes:

● A 4-day, 3-night luxury retreat in Cabo San Lucas

● Luxury accommodations, “all inclusive” of food and beverage including

alcohol as selected by Sponsor

● Exclusive 8+ hours of group coaching, private cacao ceremony private

whale watching tour, private yoga/meditation experiences as selected by

Sponsor

● Round trip coach airfare on an airline of Sponsor’s choice from anywhere

in continental US (where available) to Cabo 

Total Approximate Retail Value (ARV): $15,000. The prize is non-transferable, non-

refundable, and cannot be exchanged for cash or another prize.

6. Winner Selection & Notification

● The winner will be selected randomly from all eligible entries using a third-

party random generator.

● The drawing will take place on 2/18.

● The winner will be notified via DM and email on 2/18.

● The winner must respond within 24 hours to claim the prize, or an alternate

winner will be selected.

Odds of winning depend on the number of eligible entries received. Random Winner

Notification: The winner will be selected by a random generator from among all eligible

entries received.

Drawing will take place at the offices of the Sponsor whose decisions are final.

7. Taxes &; Responsibilities

● The winner is solely responsible for any applicable federal, state, and local

taxes.

● If required by law, the winner must provide a W-9 form and may receive a

1099 tax form for the prize’s value.

8. General Conditions

● By entering, participants agree to release and hold harmless the Sponsor,

Instagram, Facebook, and any affiliated parties from any liability, injury, or

loss related to the Giveaway.

● Sponsor reserves the right to disqualify any participant found to be

engaging in fraudulent activity.

● Sponsor reserves the right to modify, cancel, or suspend the Giveaway if

any fraud, technical failure, or other factor impairs the integrity of the

Giveaway.

● Winner will be notified by email and confirmed in writing, and will be required to

sign and return, within two (2) days of winner notification, an Affidavit of Eligibility,

a Liability Waiver, and where allowable, a Publicity Release (collectively, "the

Releases") or more in value, the winner’s social security number or taxpayer I.D.

will be required in connection with the issuance of a Form 1099-MISC. The prize

will be awarded within approximately seven (7) days after the winner is verified.

●  Prize Conditions and Limitations: The prize package will be awarded within

approximately seven (7) days after the winner is verified. If a prize notification or

prize is returned as undeliverable, or if the winner is found to be ineligible or not

in compliance with these rules that winner will be disqualified, and the prize will

be awarded to an alternate winner in a separate random drawing.

●  If a winner is otherwise eligible under these Official Rules but is nevertheless

deemed a minor in his or her state of primary residence, the prize will be

awarded in the name of the winner's parent or legal guardian who will be required

to execute and return the Releases on minor’s behalf. If the Releases are

returned as undeliverable or if the selected winner cannot accept or receive the

prize for any reason, or he/she is not in compliance with these Official Rules, the

prize will be forfeited and an alternate winner will be selected in a separate

random drawing.

● No substitution of prizes are permitted except in the Sponsor’s sole discretion, in

which case a prize of equal or greater value may be awarded. No cash in lieu of

prize and no exchange or substitution of prize, except at the sole discretion of the

Sponsor. Any other incidental expenses on the prize not specified herein are the

winner’s sole responsibility.

● Publicity Release: Acceptance of a prize constitutes permission from the winner

to the Sponsor and its agencies to use such winner’s image, name, voice, and/or

likeness, for marketing, advertising, and publicity purposes in any media format

worldwide, without further compensation, except where such use is prohibited by

law.

● Release: By entering, each entrant agrees to hold harmless and indemnify the

Sponsor and its employees, agents, contractors, and affiliates against any and all

liability, damages, or causes of action (however named or described) due to any

injuries, theft, damages, or losses to any person (including death) or property of

any kind resulting in whole or in part, directly or indirectly, from (a) acceptance,

receipt, possession, misuse or use of any prize; (b) participation in any

Giveaway-related activity or participation in this Giveaway; (c) any malfunction of

the entry website; (d) any error in the collection or retention of entry information;

or (e) any typographical or other error in the printing, offering, or announcement

of any prize. Winner assumes all liability for any injury or damage caused or

claimed to be caused, by participating in this Giveaway or use or redemption of

any prize. All services and personal property prizes are awarded “as is” with no

at-law or implied warranties whatsoever. By participating in this promotion,

Participants agree to be bound by these Official Rules and the decisions of the

Sponsor.

●  Sponsor is not responsible for any incorrect or inaccurate information, whether

caused by website users or by any of the equipment or programming associated

with, or utilized in, this Promotion, or by any technical or human error which may

occur in the processing and/or transmissions in the Promotion. Sponsor assumes

no responsibility for any error, omission, interruption, deletion, defect, delay in

operation or transmission, communications line failure, theft or destruction or

unauthorized access to, or alteration of, entries. Sponsor is not responsible for

any problems or technical malfunction of any telephone network or lines,

computer online systems, servers or providers, computer equipment, software,

failure of email due to technical problems or traffic congestion on the Internet or

at any website or combination thereof, including injury or damage to participants

or to any other person’s computer related to, or resulting from, participating in or

downloading of materials in this Promotion. If, for any reason, the Promotion is

not capable of running as planned, including, without limitation, infection by

computer virus, bugs, worms, tampering, unauthorized intervention, fraud,

technical failures, or any other causes beyond the reasonable control of the

Sponsor which may corrupt or affect the administration, security, fairness,

integrity or proper conduct of this Promotion, Sponsor reserves the right at its

sole discretion to cancel, terminate, modify or suspend the Promotion, without

individual notice, and select winners from all entries received up to the time of

termination. Any person attempting to defraud or in any way tamper with the

mechanics or logistics of this Promotion will be declared ineligible and may be

prosecuted to the full extent of the law.

9. Publicity Release

By entering, participants grant Sponsor the right to use their name, likeness, and

entry for promotional purposes without further compensation.

10. Privacy Policy

Information submitted with an entry is subject to Sponsor’s Privacy Policy

([Insert Link]).

11. Governing Law

This Giveaway is governed by the laws of the State of Texas, without regard to

conflict of law principles.

12. Dispute Resolution

Any dispute whatsoever relating to the Giveaway or the prizes award shall be settled by

binding and final arbitration before a single arbitrator. The demand for arbitration shall

be made within a reasonable time after a claim, dispute, breach or other matter in

question has arisen, and in no event shall it be made after two years from when the

aggrieved party knew or should have known of the claim, dispute or breach. The

arbitration shall be conducted pursuant to the Commercial Arbitration Rules of the

American Arbitration Association (the “AAA Rules”). Arbitration shall be by a single

arbitrator experienced in the matters at issue selected pursuant to the AAA Rules. The

arbitration shall be held in Dallas, Texas, USA and shall be conducted pursuant to the

AAA Rules (regardless of any choice of law provision in this Agreement) to the extent

not otherwise inconsistent with this Agreement. The decision of the arbitrator shall be

final and binding as to any matters submitted to arbitration and shall be in lieu of any

other action or proceeding of any nature whatsoever; and, if necessary, any judgment

upon the arbitrator’s decision may be entered in any court of record having jurisdiction

over the subject matter or over the party against whom the judgment is being enforced.

The arbitrator shall issue a reasoned opinion to support his or her final award and shall

have no power to issue any ruling that either is not consistent with, or is contrary to,

Texas law. The arbitrator also shall have no power to award exemplary, special or

punitive damages, and shall further have no power to award incidental or consequential

damages or damages for lost profits. The reasonable attorneys’ fees and costs of the

prevailing party (as determined by the arbitrator) shall be reimbursed by the other party

or parties.

13. Disclaimer and Representations. Each winner assumes all liability for any injuries

or damages caused or claimed to be caused by winner’s participation in the Giveaway

and/or the acceptance and/or use of any prize, and releases the Sponsor, Instagram

and their respective parent companies, subsidiaries, and affiliates, and all of their

officers, directors, agents, and employees (collectively, “Releasees”), from any such

liability. Releasees are not responsible for: the failure of any entry to be received by the

Sponsor because of electronic device errors or failures of any kind, internet disruption,

telecommunications, network, electronic, telephone or mobile service outages, delays,

busy signals, or any equipment malfunctions or other technical difficulties that may

prevent the Sponsor from receiving any entry submission; entries that are illegible,

unintelligible, incomplete, stolen, misdirected, garbled, delayed by computer

transmissions, lost, late or damaged; any injury or damage to the entrant’s or any other

person’s electronic device related to or resulting from participation or accessing or

downloading any materials related to the Giveaway; or any human errors, any

inaccurate transcription of entry information, errors in any promotional or marketing

materials or errors in these Official Rules. If you choose to enter using your mobile

phone, standard message and data rates may apply.

Sponsor reserves the right to disqualify any individual from participation in the Giveaway

if Sponsor concludes, in its sole discretion, that such person: (a) has attempted to

tamper with the entry process or other operation of the Giveaway; (b) has failed to

comply with or has attempted to circumvent these Official Rules; (c) has committed

fraud or attempted to undermine the legitimate operation of the Giveaway; or (d) has

acted toward Sponsor, any other entity affiliated with the Giveaway, or any other entrant

in an unfair, inequitable, threatening, disrupting, or harassing manner. If a dispute arises

regarding compliance with these Official Rules, Sponsor may consider, in its sole

discretion, data reasonably available to Sponsor through information technology

systems in Sponsor’s control, but Sponsor will not be obligated to consider any data or

other information collected from any other source. Any failure by Sponsor to enforce any

of these Official Rules will not constitute a waiver of such Official Rules. If there is a

conflict between any term of these Official Rules and any marketing or entry materials

used in connection with the Giveaway, the terms of these Official Rules will govern.

Sponsor also reserves the right, in its sole discretion, to modify these Official Rules for

clarification purposes without materially affecting the terms and conditions of the

Giveaway. Sponsor reserves the right to cancel, terminate or modify the Giveaway if an

insufficient number of entries are received or if the Giveaway is not capable of running

as planned, including, without limitation, as a result of infection by computer virus, bugs,

tampering, unauthorized intervention, or technical failures of any sort, or for any reason

beyond Sponsor’s control. If due to circumstances beyond the control of the Sponsor,

any event related to the Giveaway or prize is delayed, rescheduled, postponed,

cancelled or has a change of venue, the Sponsor reserves the right, but is not obligated,

to cancel or modify the Giveaway. Notice of cancellation or modification of the

Giveaway will be published on Sponsor’s website. If cancellation occurs prior to

Sponsor’s receipt of any entries, Sponsor will not be obligated to award prize(s). If

cancellation occurs after Sponsor’s receipt of entries, winner(s) will be selected by

random drawing from among all eligible, non-suspect entries received prior to

cancellation, provided Sponsor is able to do so.

14. Severability: If any provision(s) of these Official Rules are held to be invalid or

unenforceable, all remaining provisions hereof will remain in full force and effect.
